Terms of Service

These terms are the agreement between you and the operator of penui. They are written to be read. If something is unclear, ask us before you subscribe.

The short version (not a substitute for the terms below):
  • penui gives you Roblox UI components and an MCP server so an AI agent can build screens in Roblox Studio. Use the UI you build in your games, including after you cancel.
  • You may not resell, republish or bulk-extract the library itself.
  • Many packs are made by other designers and carry their own licenses. We credit them and honor takedown requests.
  • You are responsible for your game, your Roblox account, your keys and checking AI-generated code before you ship it.
  • The service is provided as is. Our liability is limited, except where the law does not allow that.

1. Who we are and what these terms cover

penui (the Service) is operated by [LEGAL NAME], [ADDRESS, VAT NUMBER] (we, us). The Service includes the website at penui.dev, the component and unit library, the MCP server and the API used for accounts, usage limits and billing.

By creating an account, installing or running the MCP server, subscribing, or otherwise using the Service you agree to these terms and to the Privacy Policy. If you use the Service for a company or a studio, you confirm that you can bind it, and “you” includes it. If you do not agree, do not use the Service.

You must be at least 16 years old, or have a parent or guardian who accepts these terms for you and takes responsibility for your use. Where a different age applies in your country, that age applies.

2. The service

penui is a library of Roblox user-interface components, rendered from design files, split into pieces with machine-readable metadata (size, 9-slice insets, text layers, fonts, palette, hierarchy). An MCP server lets an AI agent search the library and generate Luau and, optionally, upload images to Roblox. The MCP server runs on your computer; the website and API run on our infrastructure.

The Service is under active development. Features, packs, tools, limits and the content of each plan can change. We may add, replace or remove packs and components, for example because an author withdraws a pack or a license ends. We will not remove from you the right to keep using UI you already built (section 5).

We aim for a reliable service but do not promise uninterrupted or error-free availability. Metered tools need to reach our API; if it is unreachable the MCP server may deny the request.

3. Accounts and API keys

Some features need an account. Sign-in is handled by our authentication provider. Give accurate information, keep your credentials safe, and tell us promptly if you think your account is compromised. You are responsible for activity under your account and your API keys, including by AI agents acting for you.

API keys are shown once, are stored by us only as a hash, and can be revoked in your dashboard. Do not share keys or let a key be used by people outside your plan. One person per seat unless your plan says otherwise. We may limit the number of keys per account.

4. Plans, usage limits, billing and refunds

Plans and limits

Plans, prices, included packs, seats and usage limits are described on the pricing page and in your dashboard. Some tools consume usage credits against daily and monthly allowances (UTC). Reaching a limit blocks further metered calls until the window resets or you change plan. We may adjust free-plan limits and may apply reasonable fair-use and rate limits to protect the Service.

Payments

Paid plans are billed in advance, monthly or yearly, by our payment processor (Stripe). We do not see or store your full card number. Prices are shown in euros or US dollars as indicated and may include or exclude VAT or sales tax depending on your location; the checkout shows the amount due. You authorize recurring charges until you cancel.

Renewal and cancellation

Subscriptions renew automatically for the same period. You can cancel or change plan at any time in the billing portal. Cancellation takes effect at the end of the paid period; you keep access until then. Price changes apply from the next renewal and we will notify you in advance. If a payment fails we may retry it and, if it remains unpaid, downgrade or suspend the paid features.

Refunds and right of withdrawal

If you are a consumer in the EU/EEA or UK you normally have 14 days to withdraw from a distance contract. The Service gives immediate access to digital content and a digital service. When you subscribe you expressly ask us to start providing it immediately and you acknowledge that, once the service has been fully provided, you lose the right of withdrawal; if you withdraw within 14 days after it has started, you owe a proportionate amount for what you used until then. We will ask you to confirm this at checkout where the law requires. Rights that the law gives you and that cannot be waived are unaffected.

Apart from that and what the law requires, payments are non-refundable and we do not refund partial periods. If you think you were charged by mistake, contact us within 30 days and we will look into it in good faith. A refund or chargeback may result in the related access being withdrawn.

Free plan

The free plan is provided without charge and without commitment. We can change or end it.

5. License to the components and what you build

What you get. Subject to these terms, and for as long as you have access to a component (through the free plan or an active paid plan that includes its pack), we grant you a worldwide, non-exclusive, non-transferable, non-sublicensable license to use, adapt and combine the components, images, metadata and generated Luau to design, build and operate Roblox experiences, including commercial ones. You may sublicense only to the extent that is inherent in publishing the experience on Roblox (players seeing the UI).

What you keep. Screens, scripts and images you already built into your experiences, and uploaded to Roblox, remain yours to keep and ship after you cancel or after your plan changes. The license above to new downloads, new generations and updates ends when your access to that pack ends. This does not give you rights over third-party pack content beyond what its own license allows (section 6).

What you do not get. You do not receive ownership of the library, the components, the metadata, the MCP server or the site. You may not use them except as allowed here. Section 7 lists specific prohibited uses.

Studio plan seats. Where your plan includes seats, the license covers only the named seats of one team working on your experiences.

Your content. You keep ownership of what you upload to us (for example .fig files, section 10) and of your own game content. You grant us the limited right to host, process and display it as needed to provide the Service to you.

Feedback. If you send us suggestions, we may use them without obligation to you.

6. Third-party packs and licenses

Not all packs are created by us. The library includes designs made by independent designers and open-source or public-domain packs (for example CC0 and open-source releases), rendered from the authors’ own design files. Copyright and, where applicable, trademarks in those designs belong to their respective authors. We do not claim to own them.

Each pack may be subject to its own license or terms, which are noted in the pack metadata or on the pack page where available. Where a pack carries a license (for example attribution requirements), you must follow it in addition to these terms. Where a pack is public domain or CC0, your rights to the original design are those of that license; our rendering, splitting, metadata and tooling are still covered by these terms.

For packs we distribute on the basis of a license or agreement with the author, we pass on only the rights we hold. We do not guarantee that every design is original, free of third-party rights or suitable for every use, and we do not give any warranty or indemnity of non-infringement for third-party packs beyond what the law requires. If you need certainty for a particular use, such as a trademark-heavy brand, check the pack’s source and license before shipping.

Fonts, icons and images included in packs may be covered by their own licenses. Do not extract and reuse them outside the UI you build.

“Roblox” and other names, logos and brands belong to their owners. Mentioning them does not imply affiliation, sponsorship or endorsement. penui is an independent product and is not made by, endorsed by or affiliated with Roblox Corporation, Figma, Inc. or Anthropic.

7. Acceptable use

You agree not to, and not to let others:

  • resell, sublicense, redistribute, publish or share the library, packs, components, images or metadata as such, including in a competing library, UI kit, template marketplace, asset store, dataset or open-source repository;
  • bulk download, scrape, mirror or systematically extract the library or its metadata, or circumvent usage limits, pack gating, metering, rate limits, API-key controls or other technical measures;
  • use the library or its output to train, fine-tune or evaluate a machine-learning model, or to build a competing service, without our written permission (an AI agent using the MCP server to build your UI is permitted);
  • share an account or key outside your plan, or use several free accounts to evade limits;
  • use the Service in violation of law, of Roblox’s Terms of Use or Community Standards, or to build experiences that infringe others’ rights, deceive or harm players, or impersonate other people or brands;
  • upload malicious code, probe or attack the Service, disrupt it, or access data that is not yours;
  • remove license notices, author credits or attribution that a pack requires.

We can investigate suspected violations and take action under section 15.

8. Roblox, Studio and your game

The Service works alongside Roblox Studio and the Roblox platform, which we do not control. You are responsible for complying with Roblox’s terms and policies, for the content and moderation of what you upload to Roblox, and for your game’s compliance with law (for example about children, purchases and data). Roblox may change or restrict its platform or APIs and we are not liable for that.

If you use the optional Roblox Open Cloud upload, your Roblox API key and IDs are read from your own environment and used by the MCP server on your machine to call Roblox. We do not ask you to send them to us. Keep them secret and restrict their scope. You are responsible for any uploads made with your key and for any cost or moderation action that follows.

Uploaded images may be reviewed or rejected by Roblox. Asset IDs belong to the account (user or group) that uploaded them.

9. AI agents and generated output

The Service is designed to be used by AI agents. Output from our tools (including Luau, layout values and asset references) is generated by software, and the actions an agent takes with it are determined by you, your agent and its settings, not by us. Review, test and secure generated code and UI before publishing it. Do not give an agent more access or permissions than you intend. We are not responsible for what an agent or a third-party AI tool does, for mistakes in its output, or for data you send to it.

10. Custom .fig files (where included in your plan)

If your plan lets you send us design files for processing into a private pack, you confirm that you own the files or have all rights and permissions needed to send them to us and to have them processed and used by you and your team, and that they do not infringe anyone’s rights. We will use them to provide the service to you, keep them in a private pack for your team, and not add them to the public catalog. We may refuse or remove files that appear unlawful, infringing or unsafe.

11. Copyright and other IP complaints

If you are an author or rights holder and believe content in the library infringes your rights, or you want credit or removal, write to [CONTACT EMAIL] with: your name and contact details; what the work is and where it is shown; the component, pack or URL concerned; why you hold the rights; and a statement that the information is accurate and that you are authorized to act. We will review in good faith and promptly, and may remove or disable access to the content while we do. We may share the complaint with the person who contributed it, and we will end access for repeat infringers. Knowingly false claims can lead to liability.

12. Disclaimers

THE SERVICE, THE LIBRARY AND ALL CONTENT AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT RENDERINGS MATCH THE ORIGINAL DESIGNS IN EVERY RESPECT, OR THAT COMPONENTS ARE COMPATIBLE WITH FUTURE ROBLOX VERSIONS.

If you are a consumer, you keep the rights the law gives you that cannot be excluded, including the legal guarantee of conformity for digital content and services.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, PLAYERS OR GAME ACCOUNTS, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR EUR 100 IF YOU USE ONLY THE FREE PLAN).

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury, for fraud, or for intentional misconduct or gross negligence, and nothing limits mandatory consumer rights. Some places do not allow certain limits, so parts of this section may not apply to you.

14. Indemnity

If you use the Service for business purposes, you will defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your experiences, your uploaded files, your breach of these terms or of third-party rights, or your violation of law or Roblox’s policies, except to the extent caused by our own breach. This section does not apply to consumers.

15. Suspension and termination

You can stop using the Service and delete your account at any time (contact us or use the dashboard where available). We may suspend or end your access, or remove content, if you breach these terms or the law, if required by law or by a rights holder, if we reasonably suspect fraud or abuse, if your payment fails, or if we stop offering the Service (in that case we will give reasonable notice and refund prepaid fees for the period after shutdown). Sections that by their nature should survive (including 5 in respect of what you built, 6, 7, 11–14, 17) survive termination.

16. Changes to these terms

We may update these terms, for example for new features or legal changes. For material changes we will give notice by email or on the site at least 14 days before they take effect (unless a shorter period is required by law or security). If you do not agree, you can cancel before they take effect; continued use afterwards means you accept them. The current version is always at penui.dev/terms.

17. Governing law and disputes

These terms are governed by the laws of [COUNTRY], without regard to conflict-of-law rules. The courts of [CITY, COUNTRY] have exclusive jurisdiction, except that if you are a consumer you may also bring claims in the courts of your country of residence and you keep the protection of the mandatory consumer law there. Please contact us first so we can try to settle a dispute informally. EU consumers can also use the European Commission’s online dispute resolution platform where available.

18. General

  • Entire agreement. These terms and the Privacy Policy are the whole agreement about the Service and replace earlier versions.
  • Severability. If a provision is unenforceable, the rest remains in force and the provision is replaced by the closest enforceable one.
  • No waiver. Not enforcing a right does not waive it.
  • Assignment. You may not transfer your rights without our consent. We may transfer ours in a merger, acquisition or sale of the business, or to an affiliate.
  • Force majeure. Neither party is liable for failures caused by events beyond reasonable control, such as outages of Roblox or of cloud, network or payment providers.
  • Language. The English version controls if translated.
